Terms of Service & Vendor Agreement

Legal Entity: Hutterite Marketplace Inc., Alberta, Canada

This Agreement governs your access to and use of the Platform (hutteritemarketplace.com and hutteritemarketplace.ca), whether as a buyer or vendor. Vendors list goods/services; buyers purchase directly from vendors.

1. Scope of Agreement

Applies to all users. By using the Platform, you agree to these terms and our Privacy Policy. Users under 19 require parental/guardian consent.

2. Platform Role & Disclaimer

HutteriteMarketplace.ca is a neutral e-commerce and services platform.

We are not a retailer, manufacturer, service provider, or legal mediator.

All transactions are between buyers and vendors.

We are not responsible for the performance, condition, legality, delivery, or return of any product or service listed on the Platform.

3. Eligibility

Must be 18+ and legally capable of binding agreements. Vendors must list only fulfillable, legal products/services and designate authorized representatives (e.g., for Hutterite colonies).

4. Payments, Fees, and Commissions

Stripe Connect handles most payments; e-transfers approved case-by-case. Platform collects variable commissions based on onboarding, volume, or terms. Service transactions may hold deposits until completion. Fees are final; no bypassing allowed.

5. Returns, Refunds & Disputes

Vendors handle all refunds, exchanges, warranties, and complaints directly. Platform does not mediate. Repeated issues may lead to vendor suspension and payout withholding.

6. Non-Circumvention & Repeat Business

Platform-introduced relationships require all future business through the Platform. Off-platform dealings result in penalties: suspension, removal, or legal action.

7. Farm Gate Pickup

Pickup options must process through Platform. Cannot bypass for future orders; violations lead to removal.

8. Intellectual Property

Platform technology, branding, and data owned exclusively by Hutterite Marketplace Inc. No reproduction or cloning. Vendors grant non-exclusive license for their content display/promotion; retain ownership of photos/descriptions.

9. Termination and Suspension

Accounts suspended/terminated for bypassing, non-fulfillment, complaints, fraud, or breaches. May withhold funds or pursue legal action.

10. Platform Modifications

Updates notified via email/Platform. Continued use accepts changes.

11. Governing Law & Disputes

Governed by Alberta/Canadian law. U.S. users subject to applicable U.S. laws upon expansion. Disputes resolved in Alberta jurisdiction.

12. General Provisions

Entire Agreement: These Terms + Privacy Policy.
Severability: Invalid provisions do not affect others.
No Waiver: Non-enforcement does not waive rights.
